Late payment may result in suspension of services and additional charges
All prices are quoted in Euros and exclude applicable VAT
Refunds are considered on a case-by-case basis and subject to our discretion

Intellectual Property

All content, materials, guides, documentation, and other intellectual property created or provided by arabidkdst remain our exclusive property unless explicitly transferred in writing.

Our intellectual property includes but is not limited to:

Trade secrets and proprietary business processes

Clients receive a non-exclusive licence to use delivered materials for their internal educational purposes only. This licence does not permit redistribution, resale, or commercial use of our materials.

Confidentiality

We respect the confidential nature of information shared during our professional relationship. We agree to:

Maintain confidentiality of client information and institutional data
Use confidential information only for the purpose of providing our services
Implement appropriate security measures to protect confidential information

Limitation of Liability

To the maximum extent permitted by law, arabidkdst's liability for any claims arising from our services is limited as follows:

Our total liability shall not exceed the amount paid by the client for the specific services giving rise to the claim

We are not liable for damages caused by client's failure to follow our recommendations or implement our guides correctly

Our liability excludes losses due to third-party software, hardware failures, or external factors beyond our control

This limitation applies regardless of the legal theory on which the claim is based, whether in contract, tort, or otherwise.

Force Majeure

arabidkdst shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to natural disasters, government actions, war, terrorism, epidemics, or technical failures of third-party systems.

Data Protection

We process personal data in accordance with our Privacy Policy and applicable data protection laws, including GDPR. By using our services, you consent to our data processing practices as described in our Privacy Policy.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of Slovenia. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts of Slovenia.

The United Nations Convention on Contracts for the International Sale of Goods shall not apply to these Terms.

Dispute Resolution

In the event of any dispute arising from these Terms or our services, the parties agree to first attempt resolution through good faith negotiations. If such negotiations fail, disputes shall be resolved through the court system of Slovenia.

Termination

Either party may terminate the service relationship under the following conditions:

By mutual agreement in writing
By either party with 30 days' written notice for convenience
Immediately by arabidkdst if the client breaches these Terms
Immediately by arabidkdst if payment obligations are not met

Upon termination:

All outstanding fees become immediately due and payable
Each party shall return confidential information of the other party
Licences to use arabidkdst materials shall terminate unless otherwise agreed
Provisions relating to intellectual property, confidentiality, and limitation of liability shall survive termination

Modifications to Terms

arabidkdst reserves the right to modify these Terms at any time. We will notify users of significant changes by posting updated Terms on our website with a new effective date. Continued use of our services after such modifications constitutes acceptance of the updated Terms.

Severability

If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced with a valid provision that most closely achieves the original intent.

Entire Agreement

These Terms, together with our Privacy Policy and any written service agreements, constitute the entire agreement between you and arabidkdst regarding the use of our website and services, superseding any prior agreements or understandings.
